About the Role:
A growing business law firm is seeking an experienced Business Litigation and Transaction Lawyer to represent small and mid-sized businesses across transactional matters, business disputes, and commercial litigation. This position offers a balanced practice involving contract drafting and negotiations, pre-litigation dispute resolution, and courtroom representation.
The ideal candidate will be comfortable managing cases from initial client consultation through resolution while also serving as a trusted advisor to business clients on operational and legal matters.
Key Responsibilities:
Business Transactions:
Draft and review business contracts, agreements, and licensing documents.
Handle entity formations, organizational documents, and regulatory filings.
Review vendor agreements, customer contracts, employment-related agreements, and business purchase/sale transactions.
Provide strategic legal guidance to business owners regarding risk management and compliance.
Dispute Resolution & Pre-Litigation Matters
Manage business disputes, partnership disagreements, breach of contract claims, and commercial collection matters.
Draft demand letters, cease-and-desist letters, settlement proposals, and other dispute-related correspondence.
Advise clients on negotiation strategies and alternative dispute resolution options.
Litigation:
Handle commercial litigation matters from initial pleadings through final resolution.
Draft motions, pleadings, discovery requests, and legal memoranda.
Conduct legal research and case analysis.
Represent clients in hearings, mediations, settlement conferences, and court proceedings.
Manage post-judgment collections and enforcement actions when necessary.
Client Development & Relationship Management
Conduct consultations with prospective clients and evaluate legal matters.
Develop strategic plans to address client objectives and legal concerns.
Maintain strong client relationships through proactive communication and responsiveness.
Serve as outside general counsel to business clients as relationships develop.
Qualifications:
Juris Doctor (J.D.) from an accredited law school.
Active license and good standing with the applicable state bar.
Experience in business law, commercial litigation, contract drafting, and transactional matters.
Strong legal research, writing, and analytical skills.
Ability to manage cases independently and prioritize multiple matters effectively.
Excellent negotiation, communication, and client relationship skills.
Experience handling business disputes, breach of contract claims, and commercial litigation preferred.
Preferred Skills:
Commercial litigation experience.
Business transaction and contract drafting expertise.
Client counseling and business advisory experience.
Courtroom advocacy and dispute resolution skills.
