About the role
Overview
A leading law firm is seeking a Corporate Securities Attorney with 5+ years of experience to support a sophisticated corporate practice focused on securities, governance, and transactional matters.
This is an in-office role based in New York City.
Key Responsibilities
- Advise public and private companies on:
- Securities Act & Exchange Act compliance
- Ongoing reporting obligations
- Draft and review SEC filings, including:
- Periodic reports
- Current reports
- Proxy statements
- Registration statements
- Section 16 filings
- Counsel on corporate governance matters:
- Board and committee processes
- Disclosure controls and procedures
- Support capital markets transactions:
- Public offerings
- Private placements
- Assist with M&A and strategic transactions involving securities and disclosure
- Coordinate with:
- Auditors
- Underwriters
- Transfer agents
- Monitor regulatory developments and provide practical legal guidance
Qualifications
- 5+ years of corporate securities experience (law firm and/or in-house)
- Strong experience with SEC filings and reporting compliance
- Solid understanding of corporate governance frameworks
- Ability to manage multiple matters independently
- Strong drafting, analytical, and client service skills
- J.D. from an accredited law school
- Admitted to practice in New York (in good standing)
