About the Job:
A leading global law firm is seeking a Mid-level Associate (3–5 years of experience) to join its Technology & Data Practice. This is an excellent opportunity for an attorney with experience in technology transactions, data privacy, cybersecurity, artificial intelligence (AI), and regulatory compliance to work on sophisticated, high-value matters for clients across multiple industries.
The ideal candidate will have strong drafting and negotiation skills, a practical approach to risk management, and experience advising clients on complex technology and data-related legal issues.
Key Responsibilities:
Draft, review, and negotiate a wide range of technology agreements, including:
Software licensing agreements
SaaS and cloud services agreements
Software development agreements
Reseller and distribution agreements
Strategic alliance and commercial partnership agreements
Draft and negotiate privacy, cybersecurity, data protection, and information governance provisions in technology and commercial transactions.
Prepare and negotiate stand-alone privacy agreements, including:
Data Processing Agreements (DPAs)
Data Sharing Agreements (DSAs)
Advise clients on compliance with U.S. and international privacy laws, including:
GDPR & UK GDPR
U.S. State Consumer Privacy Laws
HIPAA
Other emerging global privacy frameworks
Counsel clients on:
Privacy compliance programs
Data governance initiatives
Data mapping and classification
Data retention policies
Vendor management
Cross-border data transfers
Support clients in responding to:
Cybersecurity incidents
Data breaches
Regulatory investigations
Privacy-related inquiries
Advise on legal issues involving:
Artificial Intelligence (AI)
Digital advertising
Cookies and tracking technologies
Online platforms
Emerging technology and data-driven business models
Serve as the technology and privacy specialist on mergers & acquisitions (M&A), financing, outsourcing, and other strategic corporate transactions involving technology and data assets.
Collaborate with attorneys across corporate, litigation, healthcare, financial services, employment, and regulatory practices to deliver integrated legal solutions.
Manage multiple client matters while building and maintaining strong client relationships.
Utilize AI-assisted legal research, contract review, and drafting tools to improve efficiency and accuracy.
Required Qualifications:
Juris Doctor (JD) from an accredited law school.
Admission to the Bar in the applicable jurisdiction.
3–5 years of experience in one or more of the following:
Technology Transactions
Data Privacy
Cybersecurity
Artificial Intelligence (AI)
Data Protection
Experience drafting and negotiating complex commercial technology agreements.
Strong understanding of U.S. and international privacy regulations.
Experience identifying and mitigating legal, regulatory, cybersecurity, and privacy risks.
Excellent contract drafting, negotiation, legal analysis, and issue-spotting skills.
Strong client counseling and relationship management abilities.
Ability to independently manage multiple complex matters in a fast-paced environment.
Exceptional written, verbal, analytical, and organizational skills.
Comfortable using AI-powered legal tools for contract analysis and document drafting.
Preferred Qualifications:
Experience supporting M&A transactions involving technology or data assets.
Experience with outsourcing, strategic partnerships, or financing transactions.
Familiarity with global privacy compliance programs and cross-border data transfer requirements.
Experience advising clients on AI governance and emerging technology regulations.
