About the Job:
We are seeking an experienced Senior Counsel to support a fast-growing B2B SaaS organization by providing strategic legal guidance across commercial transactions, technology agreements, legal operations, and regulatory compliance. This role is ideal for an attorney with extensive experience negotiating SaaS contracts, advising cross-functional business teams, implementing legal operations processes, and supporting high-volume commercial transactions in a technology-driven environment.
Key Responsibilities:
Draft, review, negotiate, and manage a wide variety of commercial agreements including:
SaaS Agreements
Master Service Agreements (MSAs)
Statements of Work (SOWs)
Non-Disclosure Agreements (NDAs)
Vendor Agreements
Partner & Technology Agreements
Partner closely with Sales, Product, Finance, Security, and executive leadership to accelerate deal execution while mitigating legal risk.
Serve as the primary legal advisor throughout the commercial contract lifecycle.
Negotiate customer agreements involving AI products, machine learning technologies, and emerging technology solutions.
Review and negotiate inbound technology, procurement, and vendor contracts.
Develop and implement legal operations processes including:
Contract Lifecycle Management (CLM)
Contract Management Systems (CMS)
Redlining automation
Legal playbooks
Approval workflows
Intake processes
Provide legal guidance on data privacy and regulatory compliance, including GDPR and related commercial privacy obligations.
Collaborate with domestic and international legal teams on cross-border legal matters.
Support legal risk assessments while enabling efficient business operations.
Improve legal processes to increase scalability and operational efficiency.
Stay current on evolving technology, AI, privacy, and commercial law developments.
Required Qualifications:
Juris Doctor (J.D.) from an accredited law school.
Active Bar admission in at least one U.S. jurisdiction.
5+ years of commercial contracts experience within a SaaS, software, or technology company.
Strong experience negotiating complex commercial and SaaS agreements.
Proven experience supporting high-volume sales organizations.
Hands-on experience implementing legal operations tools, contract management systems, and workflow automation.
Strong understanding of:
SaaS licensing
Commercial contracting
Technology transactions
AI/LLM-related contractual issues
GDPR and data privacy regulations
Excellent negotiation, drafting, communication, and problem-solving skills.
Ability to work independently in a fast-paced, high-growth environment.
Preferred Qualifications:
Experience supporting global commercial transactions.
Experience working with cross-functional teams across multiple regions.
Familiarity with AI technologies and legal considerations surrounding artificial intelligence.
Experience developing contract templates, negotiation playbooks, and legal process improvements.
