Senior Paralegal
Location: Del Mar, CA / Southern California
Work Arrangement: Primarily remote with occasional onsite work in Del Mar, Newport Beach, and San Diego
Position Summary
The Senior Paralegal will provide hands-on legal and administrative support across a broad range of matters. The ideal candidate has strong corporate governance experience, knowledge of California corporate, LLC, and partnership requirements, real estate transaction experience, and exposure to litigation and employment matters.
This position requires excellent organization, attention to detail, legal research skills, strong communication, and the ability to manage multiple priorities independently.
Key Responsibilities
Corporate Governance & Real Estate
- Maintain corporate records, entity records, minute books, and legal files.
- Prepare written consents, resolutions, and corporate/entity governance documents.
- Support entity formations, ownership transfers, and governance matters.
- Assist with real estate leases, property management agreements, acquisitions, financings, and closings.
- Assist with due diligence and post-closing matters.
- Research California corporate, LLC, partnership, and real estate laws.
Litigation
- Coordinate with outside litigation counsel.
- Assist with litigation, arbitration, and mediation matters.
- Manage discovery processes, including document collection, retention, review, production, and Bates labeling.
- Assist with subpoenas and other discovery requests.
- Interview employees and organize/analyze information for counsel.
- Review and assist with drafting discovery responses.
Employment & HR
- Draft and update employee agreements using approved templates.
- Support HR with employment-related legal matters.
- Assist with labor-law compliance audits.
- Help develop HR policies, SOPs, and employee acknowledgments.
Contracts & General Legal Support
- Review, edit, redline, compare, and summarize contracts and other legal documents.
- Prepare correspondence, leases, agreements, and other legal documents under attorney supervision.
- Track permits, licenses, registrations, and other compliance requirements.
- Monitor legal and regulatory changes and prepare summaries.
- Conduct legal research and provide support on special projects.
Legal Department Operations
- Manage legal calendars, deadlines, workflows, and matter files.
- Maintain electronic and paper records, including SharePoint files.
- Schedule meetings and prepare meeting materials.
- Track legal budgets and review outside counsel invoices.
- Help improve legal department processes and procedures.
- Support additional legal and business projects as needed.
Required Qualifications
- 5+ years of paralegal experience, preferably in a law firm or corporate legal department.
- Strong corporate governance experience is required.
- Strong understanding of California corporate, LLC, and partnership governance.
- Experience with real estate transactions, leases, acquisitions, or property-related matters.
- Working knowledge of litigation procedures and discovery.
- Experience handling subpoenas and/or discovery requests preferred.
- Exposure to employment and HR matters preferred.
- Strong legal research and document review skills.
- Ability to independently manage multiple matters, deadlines, and priorities.
- Excellent written and verbal communication skills.
- Strong attention to detail and organizational skills.
- Ability to handle confidential and sensitive information.
- Strong judgment, initiative, and ability to research unfamiliar legal issues.
Technology Skills
Strong proficiency with:
- Microsoft Word, including Track Changes and document comparison
- Microsoft Excel

- Legal research and online research platforms
- Video conferencing and collaboration tools
Education
Preferred:
- Associate’s or Bachelor’s degree in Paralegal Studies, Legal Studies, Business, or a related field; or
- Paralegal certificate.
